The Clean Carat — Terms of Service

Welcome to The Clean Carat. These Terms of Service ("Terms") govern your access to and use of [www.thecleancarat.com] (the "Site") and any purchase you make through it. By visiting the Site, creating an account, or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Who We Are

The Clean Carat is a direct-to-consumer retailer of diamonds and fine jewelry, operated by MCCUE INVESTMENTS LLC, a Florida limited liability company. Throughout these Terms, "we," "us," and "our" refer to The Clean Carat, and "you" refers to the person using the Site.

2. Eligibility

You must be at least 18 years old, and capable of forming a legally binding contract, to make a purchase on the Site. By placing an order, you represent that you meet these requirements.

3. Products, Pricing & Availability

• Lowest-pricing model: The Clean Carat operates on a direct-to-consumer, minimal-overhead pricing model. This pricing structure is the basis for our All Sales Final policy described in Section 6 below.
• Diamond and gemstone descriptions: Product listings include carat weight, clarity, color, cut, and certification details (e.g., GIA, IGI) where applicable. We make reasonable efforts to ensure listing accuracy, but natural stones carry inherent variation, and minor discrepancies between photography and the physical item (such as lighting, screen calibration, or stone inclusions visible only under magnification) do not constitute a defect.
• Pricing errors: In the event a product is listed at an incorrect price due to typographical, technical, or pricing error, we reserve the right to cancel any order placed at the incorrect price, refund the payment in full, and notify you of the cancellation.
• Availability: All products are subject to availability. Because much of our inventory consists of individual, non-fungible stones and one-of-a-kind pieces, we reserve the right to limit quantities, discontinue a listing, or cancel an order if an item sells out or is otherwise unavailable before fulfillment.
• Pricing changes: Prices are subject to change without notice. The price in effect at the time your order is placed and confirmed is the price that applies to that order.

4. Orders & Payment

• Placing an order constitutes an offer to purchase, which we may accept or decline at our discretion (for example, in cases of suspected fraud, pricing errors, or inventory issues).
• You agree to provide accurate, current billing and shipping information. We are not responsible for delayed or misdirected shipments resulting from inaccurate information you provide.
• Payment is due in full at the time of order. We accept the payment methods displayed at checkout. By submitting payment information, you represent that you are authorized to use the payment method provided.
• Once an order is confirmed, it enters processing and cannot be modified or cancelled, consistent with our Return & Refund Policy.

5. Shipping

• Shipping methods, timeframes, and costs are presented at checkout and vary based on order value and destination.
• Given the value of the merchandise we sell, shipments are insured and typically require a signature on delivery. Risk of loss passes to you upon delivery confirmation.
• We are not responsible for delays caused by the carrier, customs, weather, or other events outside our reasonable control.

6. Returns & Refunds

All sales made through The Clean Carat are final. We do not offer returns, refunds, exchanges, or order cancellations once a purchase is completed, except as expressly set out in our Return & Refund Policy and as required under applicable law, including Florida Statute § 501.142. By completing a purchase, you acknowledge that you have read and agree to that policy.

7. Intellectual Property

All content on the Site — including product photography, descriptions, logos, graphics, and design — is the property of The Clean Carat or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written consent.

8. Accounts

If the Site allows you to create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use of your account.

9. Prohibited Uses

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms;
• Attempt to interfere with, disrupt, or gain unauthorized access to the Site, its servers, or its underlying systems;
• Use automated means (bots, scrapers) to access or extract data from the Site without our prior written permission;
• Submit false, fraudulent, or misleading information when placing an order, including payment or chargeback fraud;
• Resell products purchased through the Site in a manner that misrepresents their sourcing, certification, or condition.

10. Disclaimers

The Site and all products are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.

Grading and certification information (such as GIA or IGI reports) reflects the assessment of the issuing laboratory at the time of grading. We are not the issuer of these reports and are not responsible for variations between laboratories or subsequent re-grading.

11. Limitation of Liability

To the fullest extent permitted by law, The Clean Carat and its owners, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or any product purchased through it, even if advised of the possibility of such damages. Our total liability for any claim arising from a purchase will not exceed the amount you paid for the product giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless The Clean Carat and its owners, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Site.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of the Site will be subject to the exclusive jurisdiction of the state or federal courts located in Palm Beach County, Florida, and you consent to personal jurisdiction in those courts.

14. Changes to These Terms

We may update these Terms from time to time. Changes take effect upon posting to the Site, and your continued use of the Site after changes are posted constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
